The merger will proceed through a scheme of arrangement, contingent on the divestment of Capitol's Melton, Victoria clinic.
Integral Diagnostics is set to merge with Capitol Health following ACCC's informal clearance. The merger, subject to Federal Court approval, requires Capitol to divest its Melton clinic. Key merger dates include the Effective Date on 11 December 2024 and the Implementation Date on 20 December 2024. Post-implementation, Capitol Health will be delisted from the ASX, and new IDX shares will be issued to Capitol shareholders. Integral Diagnostics aims to finalize the merger smoothly, enhancing its diagnostic imaging services across Australia.
