Offer Details:
Traffic Technologies Ltd is conducting a pro-rata non-renounceable entitlement offer, allowing eligible shareholders to subscribe for one (1) new share for every two (2) shares they hold as of the record date. The issue price for these shares is set at $0.005 (0.5 cents) each. Additionally, subscribers will receive one (1) free attaching option for each new share issued, with an exercise price of $0.01 (1 cent) and an expiry date 24 months from the date of issue. The primary aim of this entitlement offer is to raise approximately $2.8 million before costs, not accounting for any additional capital that may be raised upon the exercise of the new options.
A separate shortfall offer will also be available to shortfall participants, which will remain open until the shortfall offer closing date. This offer allows for the subscription of any shares and new options not taken up by the entitlement offer, under the same terms.
Important Information:
This prospectus is dated and was lodged with the Australian Securities and Investments Commission (ASIC) on 11 November 2024. It will remain valid until 5.00 pm (AEDT) 13 months post issuance, after which no shares will be issued based on this document.
Applications for the official quotation of the new shares will be submitted to the ASX. There will also be an application for the official quotation of the new options, dependent on meeting certain conditions, including a minimum of 100,000 new options issued and 50 holders of marketable parcels. If these conditions are not met, the new options will be issued but will not be quoted on the ASX.
